Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Wellness MD Group PC DBA PeRx ("PeRx," "we," "us," or "our"), governing your access to and use of the website located at perxpeptides.com and all related services (collectively, the "Platform").

By creating an account, placing an order, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

Eligibility

To use PeRx, you must:

• Be at least 21 years of age
• Be a resident of the United States
• Be capable of forming a binding legal agreement
• Not be prohibited from using the Platform under any applicable law

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone at our sole discretion.

Nature of Services

PeRx is a technology platform that connects patients with licensed telehealth providers for peptide therapy consultations. Our services include:

• Health assessments to evaluate your candidacy for peptide therapy
• Facilitation of telehealth consultations with licensed providers through our partner, Decoda Health
• Fulfillment and delivery of prescribed peptide therapy products
• Wellness tracking tools including health scores, injection logs, and AI-assisted check-ins

Important Medical Disclaimers

• PeRx is not a healthcare provider. All medical evaluations, prescriptions, and treatment decisions are made by independently licensed healthcare providers through Decoda Health.
• Not a substitute for emergency care. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. PeRx does not provide emergency medical services.
• Prescription required. All peptide therapy products require evaluation and prescription by a licensed provider. No product is guaranteed to be prescribed. Provider approval is based on individual medical evaluation.
• No guaranteed results. Individual responses to peptide therapy vary. The information on our Platform, including wellness scores and health assessments, is for informational and tracking purposes only and does not constitute a medical diagnosis.

Telehealth Consent

By using our Platform, you consent to receiving healthcare services via telehealth technology. You understand that:

• Telehealth consultations are conducted remotely and may have limitations compared to in-person visits
• Your provider may determine that telehealth is not appropriate for your condition and may recommend an in-person evaluation
• You have the right to withdraw your consent for telehealth services at any time
• Your health information will be shared with the prescribing provider as necessary for your care

Assumption of Risk

By placing an order through the Platform, you acknowledge and agree that:

• Peptide therapy products are prescription pharmaceuticals that carry inherent risks, including potential side effects and adverse reactions
• Individual results from peptide therapy vary and are not guaranteed
• You are responsible for following all usage instructions provided by your prescribing provider
• You will not share, redistribute, or allow any other person to use products prescribed to you
• You will promptly discontinue use and seek medical attention if you experience any adverse reaction
• PeRx is a technology platform that facilitates access to licensed providers and fulfills prescriptions — PeRx does not practice medicine, provide medical advice, or make treatment decisions

You assume full responsibility for your use of any products obtained through the Platform in accordance with your provider's instructions.

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account and completing health assessments
• Keep your login credentials secure and not share them with others
• Notify us immediately of any unauthorized access to your account
• Not create accounts for anyone other than yourself

Providing false or misleading health information may result in inappropriate treatment recommendations and could endanger your health. You are solely responsible for the accuracy of the information you provide.

Orders & Payment

All orders placed through the Platform are subject to product availability and provider approval. Prices are listed in U.S. dollars and are subject to change without notice.

Payment is processed securely through our third-party payment provider, Rainforest. By placing an order, you authorize us to securely store your payment method and charge it upon provider approval of your prescription. You are responsible for any applicable taxes.

Billing & Refund Policy

You are only charged after provider approval. When you check out, your payment method is securely saved but not charged. A licensed provider reviews your health profile and selected peptides. You are only charged for peptides that your provider approves. If a provider determines that a peptide is not appropriate for you, your card is never charged for that product.

Once payment has been processed for an approved prescription, all sales are final. Due to the nature of prescription pharmaceutical products, we cannot issue refunds or accept cancellations after your card has been charged.

If you believe there is an issue with your order (damaged product, incorrect item, etc.), please contact us promptly at support@perxpeptides.com.

Shipping & Delivery

We ship to all 50 U.S. states. PeRx ships peptide products fully prepared and ready to use. Products that require refrigeration will be shipped with appropriate cold-chain packaging.

Delivery times may vary. We are not responsible for delays caused by shipping carriers, weather, or other factors outside our control. You are responsible for ensuring a valid shipping address and being available to receive temperature-sensitive packages promptly.

Email Communications

By using the Platform, you may receive the following types of email communications:

Transactional Emails

These are service-related emails directly tied to your account and orders, including order confirmations, prescription approval or denial notifications, shipping updates, and account security alerts. Transactional emails cannot be opted out of as they are essential to providing our services.

Marketing Emails

With your consent, we may send promotional emails including product updates, wellness tips, and special offers. Marketing emails are sent through our email provider, Omnisend. You may opt out of marketing emails at any time by:

• Clicking the unsubscribe link included in every marketing email
• Toggling off "Marketing Emails" in your Profile > Notifications settings

Unsubscribe requests are honored promptly. Opting out of marketing emails does not affect your receipt of transactional emails related to your orders and account.

AI-Assisted Features

Certain features of the Platform, including the Virtual Cell and monthly wellness check-ins, use artificial intelligence (Anthropic's Claude API) to generate personalized content. Only de-identified data is sent to the AI provider — specifically, computed health domain scores, your age, biological sex, active peptide protocol details, and a record of prior check-in questions. No personally identifiable information (name, email, date of birth, or account details) is ever transmitted. You acknowledge that:

• AI-generated content is for informational and wellness tracking purposes only
• AI outputs do not constitute medical advice, diagnoses, or prescriptions
• All clinical decisions are made by licensed healthcare providers, not AI systems
• Anthropic does not use API data for model training and automatically deletes inputs and outputs within 30 days

Intellectual Property

All content on the Platform, including text, graphics, logos, images, software, and the overall design and arrangement thereof, is the property of PeRx or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from the Platform without our prior written consent.

Prohibited Uses

You agree not to:

• Use the Platform for any unlawful purpose
• Provide false identity or health information
• Attempt to obtain prescriptions through deceptive means
• Share, resell, or redistribute any products obtained through the Platform
• Interfere with or disrupt the Platform or its servers
• Attempt to gain unauthorized access to any part of the Platform
• Use automated tools to scrape, crawl, or extract data from the Platform

Limitation of Liability

To the fullest extent permitted by applicable law, PeRx and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to loss of data, loss of profits, or personal injury.

Our total liability for any claim arising from your use of the Platform shall not exceed the amount you actually paid to PeRx for the specific order or transaction giving rise to the claim. In no event shall PeRx be liable for any damages arising from your failure to follow prescribed usage instructions or your misuse of any product.

PeRx is a technology platform and is not responsible for the medical decisions, advice, or treatment provided by independently licensed healthcare providers accessed through our Platform.

Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or completely secure, or that any defects will be corrected.

Indemnification

You agree to indemnify, defend, and hold harmless Wellness MD Group PC DBA PeRx and their respective affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) of any nature whatsoever arising out of or related to: (a) your use of the Platform or any products obtained through it; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) your misuse, improper storage, or redistribution of any prescribed product; or (e) any claim by a third party related to your use of products obtained through the Platform. This indemnification obligation survives the termination of your account and these Terms.

Dispute Resolution & Arbitration

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any products or services obtained through the Platform ("Disputes") shall be resolved exclusively through final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, rather than in court. The arbitration shall take place in the State of California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. You agree that any Dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against PeRx. If for any reason a Dispute proceeds in court rather than arbitration, you and PeRx each waive any right to a jury trial.

Exceptions. Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the court's jurisdiction. Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to support@perxpeptides.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, the Governing Law provisions below will apply.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. If the arbitration agreement above is found unenforceable, any disputes arising from these Terms or your use of the Platform shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Platform ceases immediately.

You may close your account at any time by contacting us. Account closure does not relieve you of any obligations incurred prior to termination, including payment obligations for orders already placed.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a revised "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Force Majeure

PeRx shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, supply chain disruptions, shipping carrier delays, pharmacy or compounding delays, government actions or regulations, customs delays, labor disputes, power outages, or internet service interruptions. In the event of such delays, PeRx will make reasonable efforts to notify affected customers but shall not be held responsible for any resulting inconvenience or loss.
